Terms and Conditions for KeyLogbook Software.

Below are the full Terms and Conditions for usage of the KeyLogbook® product.

1. ACCEPTANCE OF TERMS
   • This is a legal agreement. By downloading, installing, copying, saving on the licensee’s computer or device, or otherwise using this software, services or products the licensee is becoming a party to this agreement and the licensee is consenting to be bound by all the terms and conditions set forth below.
   • By accessing or using the KeyLogbook software provided by Equipe Geosolutions Limited, The Licensee agree to be bound by these terms and conditions.
   • If the Licensee does not agree with any part of these terms, The Licensee may not use the software.


2. PARTIES
   • “Equipe” or “We” means Equipe Geosolutions Limited, company registration number 7050284.
   • “Licensee” means the individual, sole proprietor or legal entity which downloads the software and assigns users. For legal entities, “Licensee” includes any entity which controls, is controlled by, or is under common control with the Licensee. For purposes of this definition, “control” means (i) the power, direct or indirect, to cause the direction or management of such entity, whether by contract or otherwise, or (ii) ownership of fifty percent (50%) or more of the outstanding shares or beneficial ownership of such entity


3. DEFINITIONS
   • “Product” means KeyLogbook for Drillers or KeyLogbook for Engineers provided by Equipe under this Agreement.
   • “Portal User” means the individual Licensee or any employee, independent contractor or other temporary worker authorised by the Licensee to use the software from the keylogbook portal while performing duties within the scope of their employment or assignment.
   • “Product Version” means a release, update, or upgrade of the Product that is not identified by Equipe as being made for the purpose of fixing software bugs.
   • “Device User” means an account created by the Licensee or a single User, having a unique device, name and password, and enabling User management and Product Subscription administration and/or access to the Product in accordance with a Product Subscription.
   • “Subscription Confirmation” means an email confirming Licensee’s rights to access and use Products, including Product Subscription plans and number of licenses acquired.
   • “Product Subscription” specifies the subscription term, the set of Products covered by this Agreement, subscription fees and payment schedules.
   • “Evaluation Period” is a period of up to 30 days upon first use and download of the Product by a Licensee used for evaluation purposes.


4. LICENSE GRANT
   • Equipe grants the Licensee a limited, non-exclusive, non-transferable license to use the KeyLogbook software for personal or internal business purposes (including sharing data with your client).


5. RESTRICTIONS
   • The Licensee may not sublicense, rent, lease, loan, sell, distribute, or otherwise transfer the software or any rights granted herein.
   • The Licensee agrees to use KeyLogbook only for the purpose it was designed for. The Licensee may not modify, adapt, translate, reverse engineer, decompile, disassemble, pass it off as yours, claim an affiliation with the brand, or create derivative works based on the software.
   • Password and email accounts cover single individual or device users, and for a specific period of time (usually monthly). The Licensee agrees not to share usernames and passwords to multiple users. Equipe or its software management provider will monitor fair usage and will terminate subscriptions and all access to data revoked with immediate effect if encountered.


6. FEES
   • Subscription fees shall become due on the 1st of the month preceding the month of use.
   • The Licensee must pay the Product Subscription fees in accordance with this Agreement. If the Licensee fails to make the timely payment of Product Subscription fees, this Agreement will be terminated and the Licensee may not use the Product.


7. PRODUCT SUBSCRIPTION TRIAL
   • Subject to the terms of this Agreement, the Licensee is granted a one-time right to install and use the Product for evaluation purposes without charge for a period of thirty (30) days from the date of the Product installation, unless otherwise specified Evaluation Period. The Licensee’s use of the Product during the Evaluation Period shall be limited to the internal evaluation of the Product for the sole purpose of determining whether the Product meets the Licensee’s requirements and whether the Licensee desires to continue using the Product.
   • The Licensee may withdraw from using the Product at the Licensee’s sole discretion any time before expiration of the Evaluation Period. Upon expiration of the Evaluation Period, Licensee’s right to continue to use the Product will terminate, unless Licensee purchases a Product Subscription to the Product. The Product may contain a feature that will automatically disable the Product upon expiration of Evaluation Period.
   • The Product Subscription Trial will enable the activation of one Portal User and one Device User only. Additional Portal or Device Users will be charged at the standard Subscription Fees.


8. OWNERSHIP
   • The software, data workflows and all intellectual property rights therein are and shall remain the property of Equipe.
   • The Licensee acknowledge that the Licensee has no ownership rights in or to the software other than the limited license granted under these terms.
   • The Licensee may do whatever the Licensee wish with the outputs the Licensee generate using the KeyLogbook software, but this does not mean that the Licensee owns the copyright to KeyLogbook design templates, styles or any other derived outputs.


9. DATA PRIVACY
   • By using the software, the Licensee consents to the collection and use of the Licensee’s data as outlined in our Privacy Policy.


10. DISCLAIMER OF WARRANTY
    • The software is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied.
    • Equipe does not warrant that the software will be uninterrupted or error-free, or that defects will be corrected.


11. LIMITATION OF LIABILITY
    • In no event shall be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses.
    • It is the Licensee’s responsibility to make sure that the software is suitable for the Licensee’s needs and for the Licensee’s IT systems before the Licensee installs it.


12. INDEMNIFICATION
    • The Licensee agrees to indemnify and hold harmless Equipe, its affiliates, officers, directors, employees, software developers and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees arising out of or relating to the Licensee’s use of the software.


13. CHANGES TO TERMS
    • Equipe reserves the right to modify or update these terms and conditions at any time without prior notice. The Licensee’s continued use of the software after any such changes constitutes acceptance of the new terms.
    • If the Licensee breaks any of the terms of this agreement, Equipe have the right to demand that the Licensee uninstall the software and to delete the Licensee’s account and data.


14. GOVERNING LAW
    • This Agreement is governed by English law. If a court finds any one of the terms of this Agreement to be unlawful, all other terms will still remain in force. If we choose not to enforce any of the terms of this Agreement at any time, this does not mean that we waive the right to enforce them at a later date.

By using the KeyLogbook software, the Licensee agrees to abide by these terms and conditions.
